We are seeking an experienced Corporate Commercial Legal Counsel to provide strategic legal support across a broad range of corporate and commercial matters, while also overseeing corporate secretariat responsibilities. The successful candidate will act as a trusted business partner to senior management and cross-functional teams, supporting complex transactions, governance matters, commercial negotiations and day-to-day legal operations.

This role is based in Athens, reporting to Head of Legal Services.

·       Proven experience in corporate governance and corporate secretariat responsibilities.

·       Strong experience in drafting and negotiating complex commercial agreements.

·       Experience in cross-border transactions and international business environments will be considered an asset.

Reporting to the Senior Admission Manager – Oslo, you will play a key role in assessing the eligibility of companies seeking admission to trading on Euronext markets, with a particular focus on the Oslo markets. You will conduct regulatory and eligibility assessments to ensure compliance with Euronext's Rule Book and applicable legal and regulatory requirements, contributing to the integrity and orderly functioning of our markets.

Working closely with issuers, investment banks, law firms, financial advisers and internal stakeholders, you will provide legal and regulatory guidance throughout the listing process, ensuring that admission decisions are robust, consistent and aligned with Euronext's regulatory responsibilities.

Key responsibilities

Admission assessment and regulatory review

  • Lead the assessment of applications for admission to trading on Euronext Oslo markets in accordance with Euronext's Rule Book and applicable securities laws and regulations.

  • Analyze prospective issuers' legal structure, corporate governance, shareholder structure, financial position, business model and transaction rationale to assess their suitability for listing.

  • Identify legal, regulatory and reputational risks associated with listing applications and ensure that these are appropriately addressed prior to admission.

  • Interpret and apply Euronext rules and policies in complex or novel situations, exercising sound legal and regulatory judgment.

Documentation review and decision-making

  • Prepare recommendation memoranda for the  CEO, presenting legal and regulatory analyses that support admission decisions.

Managing the admission process

  • Coordinate the admission process from initial engagement through to the first day of trading.

  • Participate in meetings with issuers, senior management and their legal and financial advisers to explain admission requirements and regulatory expectations.

  • Serve as the primary point of contact for applicants and advisers throughout the listing process.

Ongoing regulatory support

  • Advise issuers and internal stakeholders on the interpretation and application of Euronext's listing rules and continuing obligations.

  • Assess applications for exemptions, reports on continued listing, transfers of listing and delistings, ensuring compliance with the Rule Book and relevant legislation.

  • Monitor regulatory developments affecting listing requirements and contribute to the continuous enhancement of internal policies and procedures.

Strategic and commercial support

What you'll bring

Key responsibilities

Data Governance alignment & strategy

  • Partner with the Data Governance Lead to operationalize enterprise data policies, standards, and guidelines within the domain.

Join us a Product Manager, Digital Assets ! 

Are you ready to shape the future of capital markets? We are looking for a Product Manager, Digital Assets to join the Digital Assets team. The position will be based in Paris or London, and start on September.

You will primarily be responsible for:

  • Leading discovery and solution design for a defined area of the digital asset product suite, such as custody workflows, tokenisation and issuance, settlement and reconciliation, or client onboarding.
  • Facilitating workshops with internal stakeholders and external clients (including issuers, banks, custodians and broker-dealers) to translate complex requirements into clear, actionable specifications.
  • Writing detailed product specifications, user stories and acceptance criteria, and working closely with engineering teams through design, build, testing and launch.
  • Mapping and designing end-to-end digital asset workflows, including token issuance and lifecycle events, custody and key management, settlement and reconciliation, corporate actions and client reporting.
  • Collaborating with Legal, Compliance and Risk to ensure products are designed in line with MiCA, the DLT Pilot Regime, CSDR and other relevant regulatory frameworks from the outset.
  • Contributing to the overall product roadmap and prioritisation alongside the Chief Product Officer.
  • Defining and tracking key success metrics such as adoption, processing times, error and exception rates, and client satisfaction, using these insights to drive product iteration.
  • Staying close to the market by monitoring competitor platforms, gathering client feedback and keeping abreast of regulatory and technology developments in the digital asset space.

Your profile:

  • Proven experience taking products from concept through design, specification and launch, ideally within new or early-stage product lines.
  • Comfortable working with ambiguity and able to create structure where none exists.
  • Experience with digital assets, tokenisation of securities (equities and/or fixed income), custody or related blockchain or distributed ledger technology (DLT) workflows.
  • Experience at a crypto-native exchange, digital asset custodian or tokenisation platform, or comparable experience in stablecoin issuance, DLT infrastructure or Web3 platforms with institutional or regulated clients.
  • Experience in a regulated financial business such as brokerage, exchange, custodian bank or CSD, with an understanding of how to design products alongside Compliance, Legal and Risk, and what operational readiness means in a regulated environment.
  • Approximately ten years of relevant experience in product management, including exposure to fintech, capital markets, payments or digital assets.
  • Seniority to independently own a workstream and engage credibly with engineering leads, compliance and external clients, without relying on a large existing team or established processes.
  • Working knowledge of token standards and DLT architecture (such as ERC20, ERC3643, permissioned ledgers, Canton, Hyperledger).
  • Understanding of custody, transfer agency, clearing and settlement, and corporate actions in traditional capital markets.
  • Hands-on familiarity with APIs and integration-heavy B2B or institutional products.
  • Fluency in English; additional European languages are an asset given the pan-European client base.
