Amendments effective from 2 November 2026 to Rule Book – Part II for Euronext Growth Oslo – new content requirements for information documents
Reference is made to the consultation on new content requirements for information documents to be published by issuers upon admission to trading on Euronext Growth Oslo, published on 5 June 2026. The consultation concerned the replacement of the current Notice 2.3 to section 2.3 of Rule Book II for Euronext Growth Oslo with a new notice, which will apply to Euronext Growth Oslo as well as the MTFs operated by Euronext Brussels, Dublin, Lisbon and Paris, and Euronext Growth Milan operated by Borsa Italiana.
The amendments consolidate the content requirements applicable to information documents across the MTFs operated by Euronext and introduce content requirements based on the prospectus requirements as amended by the EU Listing Act. The new content requirements are based on a selection of the content requirements applicable to the EU Growth issuance prospectus, supplemented by a selection of content requirements based on Annexes 1 and 11 to Commission Delegated Regulation (EU) 2019/980.
The consultation closed on 31 July 2026. No comments were received from Norwegian stakeholders. However, as stated in the consultation paper, implementation of the new content requirements required separate procedural steps in each of the locations covered, including Brussels, Dublin, Lisbon, Milan, Oslo and Paris. These included separate consultations conducted in or around the same period. Comments received in the course of the other local processes have necessitated certain minor adjustments to the notice as proposed. For the avoidance of doubt, these adjustments are not substantive and do not materially alter the content of the version previously published for consultation. The adjustments are reflected in the attached mark-up version.
Further, as specified in the consultation paper, introduction of the new content requirements also necessitates certain minor amendments to section 2.3 of Growth Rule Book II and to Notice 2.2, both of which currently refer to Notice 2.3. Such amendments are reflected in the attached mark-up version.
The amendments have been adopted by Euronext Oslo Børs and will take effect on 2 November 2026. However, Euronext Oslo Børs recognises that, for a transitional period, certain issuer might want to apply the content requirements set out in the replaced Notice 2.3, for example in processes already initiated or where a draft has, for other reasons, already been prepared on the basis of the previous content requirements. This must, however, be clarified with Euronext Oslo Børs on a case-by-case basis.
