| Operation description |
Admission on Alternext:
- 1,444,547 existing shares representing the outstanding capital of AEROWATT, and,
- a maximum of 251,226 new shares by way of public offering, with a priority period for the shareholders from October 21st, 2008 till October 24th, 2008,
- a maximum of 81,019 additional new shares in case the extension option and green shoe option are exercised in full,
- a maximum of 8,244 additionnal new shares from a capital increase reserved to the employees (the employee offering is opened until 04/11/2008; the result of this offering will be published through a separate notice.)
A maximum of 251,226 new shares, before exercise of the extension clause, will be offered to public by the way of a Global Placement and an Open Price Offer (OPO).
Company's shares are listed on the Marché Libre. Since 20 October 2008, trading on shares are suspended as indicated on notice PAR_20081020_03732_MLI.
Extension option: Depending on the demand, the number of shares offered could be raised by a maximum of 37,683 shares.
Green shoe option: In order to cover any allocation, the company will grant NATIXIS, Global Coordinator and sole Bookrunner, a green shoe option that will raise the number of shares by a maximum of 43,336 extra new shares. |
