ACQUISITION OF THE BOURGEOIS SA OPHTHALMIC LENS DEPARTMENT
BOURGEOIS S.A. benefits from a process of reorganization under the French bankruptcy laws (in French redressement judiciaire), according to a judgment of the Commercial Court of LONS LE SAUNIER dated 13th January 2006.
Maître Maurice PICARD, situated 22, rue du Cordier at BOURG EN BRESSE (01000), FRANCE has been appointed as the trustee (in French Administrateur Judiciaire).
The company has two activities:
· BOURGEOIS SA has a frames department, which is profitable,
· BOURGEOIS SA has an ophthalmic lens production. BOURGEOIS SA is an optical manufacturer and distributor with a RX lab, which is in subnormal capacity usage.
In order to propose a plan of reorganization, it wants to sell its ophthalmic lens department.
This ophthalmic lens department goes through commercial difficulties due to the loss of customers.
The firm has not been able to implement a relevant commercial network whereas the price/quality ratio of its products is great.
The company has a research and development team and owns an efficient RX lab located in LONS LE SAUNIER (39000), FRANCE, enabling it to:
· develop by itself progressive designs,
· produce semi-finished lenses in different materials (including polycarbonate and Sunsensor™ ),
· produce RX organic and mineral lenses (surface generating, edging, polishing, cleaning systems, hard coating, vacuum coating, colouring…).
The production capacity is about 800 lenses RX a day for a staff made up of
· 22 employees in the production department (that is to say from launching to final checking),
· 26 employees in charge of semi-finished products production, management, administrative department, sales department, mechanics, technical assistance…
Its customers are independent or franchisees opticians or local chain representatives’ members of national chain as well as a major industrial group.
The firm has reached agreements with the main national chains.
According to a financial simulation, a level of activity of around 450 RX lenses a day enables to generate an annual earning before taxes of at least 23% of the turnover.
The acquisition of the lens business can mean a high return on investment for an investor or an executive who is able to promote a new commercial policy.
For further information, it is required to contact the company in order to obtain a confidentiality agreement. After its return, a detailed file of presentation will be transmitted in order, if necessary, to write an offer.
The sale of the department will be made according to articles L 626-1 and followings of the French Commercial Code.
A deadline for the offers will be fixed by Maître PICARD soon.
