Euronext N.V. is a Dutch public company with limited liability (naamloze vennootschap) which has its registered office in Amsterdam. Euronext N.V. has subsidiaries in Belgium, France, the Netherlands, Portugal and the United Kingdom (together, “Euronext”). Euronext is entered in the trade register of the Chamber of Commerce of Amsterdam under number 34137761.

Euronext N.V. is 99.35% owned by NSYE Euronext (Holding) N.V.; the remainder of the shares are held by Euronext Paris S.A. and by the company itself.
Managerial Structure

The company has a two-tier governance structure with a Supervisory Board and a Managing Board. The articles of association contain stipulations with regard to the tasks and the composition of the Supervisory Board and the Managing Board.

The Supervisory Board oversees the actions and policies of the Managing Board and the general course of Euronext’s business activities and supervises, assists and advises the Managing Board in performing its managerial duties.

Profile of the Supervisory Board

The Supervisory Board has adopted a profile, which is evaluated yearly and modified if necessary. The composition of the Supervisory Board is such that the combined experience, expertise and independence of its members meets the profile of the Supervisory Board. Rotation schedule

To avoid a situation in which the retirement of many Supervisory Board members coincide, the Supervisory Board has established a rotation schedule. The rotation schedule can be found here.
